Health service district board seeking to fill vacancy

The Upper San Juan Health Service District (USJHSD), which operates Pagosa Springs Medical Center (PSMC), is seeking to fill a vacancy on its seven-member board of directors.

Interested candidates have until 4 p.m. on Wednesday, June 11, to submit a completed self-nomination form, with the board anticipated to vote to fill the vacancy at its June 24 regular meeting.

“The USJHSD Board is responsible for steering the Upper San Juan Health Service District toward a sustainable future through sound, ethical, high-level governance,” a public notice published in this issue of The SUN explains. “The USJHSD mission is to provide quality, compassionate healthcare for each person we serve.”

It adds, “The USJHSD Board is made up of volunteer board members who have relevant expertise.”

The vacancy stems from the departure of Kathy Campbell, who resigned in a May 16 email to board chair Kate Alfred that cites personal reasons.

Campbell adds, “I have enjoyed my time working with the Board and wish everyone involved great success in the future.”

At their meeting Tuesday evening, the remaining six members of the board took action on a pair of resolutions relating to the vacancy.

The meeting was the first for three of the district’s newly elected members: Wayne Hooper, Eric Foss and Ashley Wilson.

The first resolution appoints Alfred and board treasurer Mark Floyd to “serve as the Board Search Committee, to assure the Board vacancy is advertised, to review applications and assess qualifications and attributes beneficial to PSMC’s governance, and make a recommendation to the Board at a duly noticed meeting in June 2025.”

In presenting the proposed resolution to the board, Chief Administrative Officer Ann Bruzzese suggested that Alfred and Floyd have years of experience and knowledge, making them a good fit.

The resolution was approved unanimously.

The following resolution related to board officer positions. 

As the resolution explains, the board’s bylaws call for the board to elect the two-year officer positions of chair, vice chair and treasurer in May of odd-numbered years.

Bruzzese noted for the board that there hasn’t previously been a vacancy at the time of electing board officers and that the board members may want to fully seat the board before choosing officers, with the exception of a chair and an interim treasurer.

She suggested the board appoint Floyd to continue in the role of treasurer on an interim basis.

The resolution, which was also approved unanimously, waives the board officer election for vice chair and treasurer for one month in order for the vacancy to be filled, appoints Floyd as the treasurer for one month or until the board elects a new treasurer, and indicates that the board would proceed with electing a chair at the May meeting “in order to ensure that the obligations of the Chair are fulfilled.”

The board then moved on to the election of the board chair.

Hooper asked if Alfred would be willing to serve again, explaining he liked the continuity that would provide with the new board members.

After Hooper turned his question into a motion, Alfred was re-elected to serve as chair.

Qualified candidates must be registered to vote in Colorado and either reside in the district or own taxable real or personal property in the district, which is comprised of all of Archuleta County and small parts of Hinsdale and Mineral counties.
