NOTICE OF HEARING

TO ALL INTERESTED PARTIES AND TO WHOM IT MAY CONCERN:

On December 17, 1990, the Commission issued Order No. 112-85, which among other things, established 320-acre drilling and spacing units for certain lands, including Section 21, Township 32 North, Range 4 West, N.M.P.M., for the production of gas from the Fruitland coal seams.

On May 8, 2008, the Commission issued Order No. 112-210, which among other things, vacated the 320-acre drilling and spacing units previously established under Order No. 112-85, and established a 356.62-acre drilling and spacing unit for the W½ E½ and W½ of Section 21, Township 32 North, Range 4 West, N.M.P.M., for the production of gas and associated hydrocarbons from the Fruitland coal seams, and approved one horizontal well for the drilling and spacing unit, with the permitted well to be located no closer than 660 from the unit boundaries

On October 8, 2010, Red Willow Production Company (“Red Willow”), by its attorneys, filed with the Commission a verified application (“Application”) for an order to amend Order No. 112-210 to approve an additional horizontal well, up to two wells, for the 356.62-acre drilling and spacing unit established for the W½ E½ and W½ of Section 21, Township 32 North, Range 4 West, N.M.P.M. (“Application Lands”), for the production of gas and associated hydrocarbons from the Fruitland coal seams.

Certain surface tracts and mineral interests under the Application Lands are owned in trust by the United States of America for the benefit of the Southern Ute Indian Tribe (“Trust Lands”). The minerals under those Trust Lands have been leased by the Southern Ute Indian Tribe to Red Willow Production Company under a mineral development agreement approved by the United States Department of the Interior, Bureau of Indian Affairs.

Insofar as the Application Lands are subject to the jurisdiction of the Southern Ute Indian Tribe, this Application is submitted to this Commission in accordance with the terms of the Memorandum of Understanding dated August 22, 1991 between the Bureau of Land Management (“BLM”) and this Commission and separate Memorandum of Understanding dated August 22, 1991 between the Bureau of Indian Affairs, the BLM, and the Southern Ute Indian Tribe.

Red Willow further requests that the setbacks for the established 356.62-acre drilling and spacing unit be reduced to 100 feet on the east and west unit boundaries. Red Willow asserts that reducing the setbacks will protect correlative rights and will assure the greatest ultimate recovery of gas and associated hydrocarbons from the reservoir and that no producing leg of any horizontal well shall be closer than 100 feet from the east or west unit boundary lines. Further, Red Willow requests that the surface location of the additional second horizontal well be located on an existing common pad with the North Caraccas 32-4 #21D-1 Well (API No. 05-007-06292).

NOTICE IS HEREBY GIVEN, that the Oil and Gas Conservation Commission of the State of Colorado, pursuant to the above, has scheduled the above entitled matter for hearing on:

(iv) Amount & Uses: (1) Irrigation Season Use: (The irrigation season, generally May through September, will vary with ground moisture, temperature, rainfall and snowfall, in consultation with Saddleback Ranch). a. 1.5 c.f.s., Conditional, for irrigation of 45 acres of land shown approximately on the map attached as Exhibit A attached to the Application, not currently being irrigated. The Brown Enlargement water, as it flows through Queen’s Lake and Melinda’s Lake, can be pumped for irrigation or diverted or pumped from the C-H Ditch. The total use of the Brown Enlargement water right for irrigation, whether pumped, as surface flow, or in combination, shall not exceed the duty of water, 1 c.f.s. to 30 acres, shall be measured and shall not exceed 1.5 c.f.s. under this water right. b. 6.0 c.f.s., Conditional, for stock watering, piscatorial, fire fighting, recreation and recharge of Queen’s, Melinda’s and Michelle’s Lakes, described in Paragraphs 2(c), (d) and (f) below, to maintain water quality for trout in these lakes. The 6.0 c.f.s. may be diverted into Queen’s, Melinda’s and Michelle’s Lakes (the “Three Lakes”) when there is available capacity in the C-H Ditch, i.e., when the irrigation priorities in the C-H Ditch senior to the Brown Enlargement are being satisfied, and when senior priorities on the San Juan River other than in the C-H Ditch have not placed a valid call for water. All return flows from stock watering, piscatorial, recreation and lake recharge related to the Three Lakes shall be returned directly to the West Fork via Michelle’s Lake during the irrigation season. (2) Non-Irrigation Season use: 10.0 c.f.s., Conditional, for stock watering, fire fighting, recreation and piscatorial purposes, including recharge of Queen’s, Melinda’s, Michelle’s and Kelly’s Lakes (the “Lakes”) to maintain water quality for trout in the Lakes. The return flows from stock watering, piscatorial, recreation and lake recharge related to the Lakes will be returned directly to the West Fork via Kelly’s and/or Michelle’s Lake during the non-irrigation season. (b) Kelly’s Lake Ditch (i) POD: A point on the West Fork, in Section 29, T37N, R1W, N.M.P.M., 280 feet North of the south line and 2,100 feet East of the west line. (ii) Source: West Fork. (iii) Appropriation Date: January 2003. (iv) Uses: During the irrigation season to recharge and freshen Kelly’s Lake, f/k/a Big Lake, f/k/a T Lazy T Lake, described in Paragraph 2(e) below, for piscatorial, stock watering, fire fighting and recreation, as described in Paragraph 2(c)(iv) below. The return flows for stock watering, piscatorial, recreation and lake recharge in Kelley’s Lake will accrue directly to the West Fork during the irrigation season. (v) Amount: 10 c.f.s., Conditional. (c) Queen’s Lake (i) Legal description: Located between 2,000 feet and 2,300 feet North of the South section line of Section 29, T37N, R1E, N.M.P.M., and 2,600 feet to 2,900 feet East of the West section line of said Section 29. Center point is approximately 3,175 feet from the North section line and 2,815 feet from the West section line. See Exhibit A attached to the Application. (ii) Depth: Maximum projected depth is 15 feet below the natural ground surface. (iii) Appropriation Date: July 29, 1998. (iv) Amount and Year-Round Use for all of the Lakes: 0.2 c.f.s., Conditional, direct flow not to exceed 30 acre-feet per year, for evaporation, piscatorial, stock watering, fire fighting and recreation purposes. (v) Surface Area: 1.27 acres. (vi) Average Depth: 12 feet +/- (vii) Source: Ground water tributary to the West Fork. (viii) Permit No. 61418-F. (ix) Queen’s Lake is a pre-1981 gravel pit and the evaporation of groundwater is exempt from gravel pit augmentation requirements under C.R.S. § 37-90-137(11)(b), and Zigan Sand and Gravel, Inc. v. Cache La Poudre Water Users Ass’n, 758 P.2d 175 (Colo. 1988) (“Zigan”). Non-consumptive, piscatorial and recreational use will not be curtailed in the event of a call and is not subject to administration by the Colorado Division of Water Resources (“CDWR”). Consumption that results from the active use of water from Queen’s Lake, including ground water pumping, evaporative loss, stock watering, and fire protection, will require a well permit and a Plan for Augmentation or a Substitute Water Supply Plan to replace depletions that exceed the evaporative depletions that were occurring prior to January 1, 1981, for the purpose of protecting senior water users in the event of a valid call. (d) Melinda’s Lake (f/k/a Bow Tie and Brook Trout Lake, which are now combined) (i) Legal description: Located between 100 feet and 1,100 feet North of the South section line of Section 29, T37N, R1E, N.M.P.M., and 2,300 feet to 2,700 feet East of the West section line of said Section 29. Center point is approximately 650 feet from the South section line and 2,475 feet from the West section line. See Exhibit A attached to the Application. (ii) Depth: Maximum depth is 20 feet below the natural ground surface. (iii) Appropriation Date: July 29, 1998. (iv) Amount and Use: 0.2 c.f.s., Conditional, direct flow not to exceed 30 acre-feet per year, for evaporation, piscatorial, stock watering, fire fighting, and recreation purposes. (v) Source: Ground water tributary to the West Fork. (vi) Surface Area: 4.01 acres. (vii) Average Depth: 15 feet +/- (viii) Permit No. 61417-F. (ix) Melinda’s Lake is comprised of two pre-1981 gravel pit lakes that were combined through the removal of approximately 0.07 acres of land in 1998, which separated the two water bodies. Evaporation from the original gravel pit lakes is exempt from augmentation requirements pursuant to C.R.S. § 37-90-137(11)(b). Increased evaporation caused by the creation of the unified lake in 1998, when such evaporation would result in injurious out-of-priority depletions, is replaced under the plan for augmentation in case no. 04CW97. (e) Kelly’s Lake (f/k/a Big Lake f/k/a T Lazy T Lake) (i)Legal description: Located between 600 feet and 1,100 feet South of the North section line of Section 32, T37N, R1E, N.M.P.M., and 1,400 feet to 2,200 feet East of the West section line of said Section 32. Center point is approximately 1,120 feet from the North section line and 1,870 feet from the West section line. See Exhibit A attached to the Application. (ii) Depth: Maximum depth is 15 feet below the natural ground surface. (iii) Appropriation Date: July 29, 1998. (iv) Amount and Use: 0.2 c.f.s., Conditional, direct flow not to exceed 30 acre-feet per year, for evaporation, piscatorial, stock watering, fire fighting, and recreation purposes. (g) Brown South Well (i) Legal description: NE¼SW¼, Section 29, T37N, R1E, N.M.P.M., 2,200 feet from the South section line and 2,200 feet from the West section line of said Section 29. See Exhibit A attached to the Application. (ii) Depth: 15 feet. (iii) Appropriation Date: July 29, 1998. (iv) Amount claimed: 2.67 c.f.s. (1,200 g.p.m.), Conditional. (v) Use: (1) Irrigation Season: Recharge water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic and/or commercial use including, but not limited to, a house with a maximum of 4 bedrooms and 7 bathrooms, up to 30 guest homes, recreation/aquatic building, greenhouse, maintenance facility, office complex with 3 baths, piscatorial, stock watering, fire fighting, recreation, and irrigation of 70 acres (of the 100 acres that are irrigated together with the Brown House Well) located in the SW¼ of Section 20, and N½ of Section 29, T37N, R1E, N.M.P.M., lying west of the West Fork, as shown on Exhibit A attached to the Application, including golf course watering and watering of lawns and gardens. The area to be irrigated, former woodland now converted to pasture and lawn, has not previously been irrigated. (2) Non-irrigation Season: The uses described above, except irrigation. (vi) Permit No. 056342-F. (h) Well WS-1 (i) Legal description: NE¼SW¼, Section 32, T37N, R1E, N.M.P.M., 900 feet from the South section line and 800 feet from the West section line of said Section 32. See Exhibit A attached to the Application. (ii) Depth: Approximately 135 feet. (iii) Appropriation Date: July 29, 1998. (iv) Amount: 400 g.p.m., Conditional. (v) Use: Irrigation of 70 acres, as shown on Exhibit A attached to the Application, lying east of the West Fork and located in the W½ of Section 32, T37N, R1E, N.M.P.M. (vi) Permit No. 061416-F. 3. Detailed outline of what has been done toward completion or for completion of the appropriation and application of water to a beneficial use as conditionally decreed, including expenditures: The Applicant, Bootjack Ranch, LLC, purchased Bootjack Ranch and all associated water rights, including the above described water rights, from Koinonia, LLC (“Koinonia”) on April 21, 2010. Koinonia and Applicant undertook the following activities toward completion of the appropriation and application of water to beneficial use during the diligence period between October 2004 and October 2010: (a) Koinonia spent more than $564,000 on physical restoration and maintenance of the West Fork and the Lakes to maintain decreed flows and to sustain and improve trout habitat, irrigation, recreation, stock watering and other decreed uses. Expenses included legal and technical consulting fees for engineering design, obtaining CWA 404 permits, materials and equipment rental. (b) Koinonia spent more than $465,000 on engineering, technical consulting and legal fees to protect Koinonia’s integrated water rights and to prosecute an application for an augmentation plan in case no. 04CW97 to replace out-of-priority depletions associated with the water rights at issue in this decree. 4. Claims to make conditional water rights absolute: Water was applied to beneficial use for each structure listed below in the place and manner described. The place of beneficial use is shown on Exhibit A attached to the Application. (a) Brown Enlargement of Chapson-Howe Ditch: (i) Water was diverted weekly at the maximum decreed rate of 1.5 c.f.s. during the 2010 irrigation season to irrigate 45 acres of pasture and lawn in the area shown on Exhibit A attached to the Application. (ii) Water was diverted during the irrigation season for stock watering, piscatorial, fire fighting, recreation and recharge of Queen’s, Melinda’s and Michelle’s Lakes to maintain water quality for trout habitat at the maximum decreed rate of 6.0 c.f.s. on the following dates: June 6, 2007; August 6, 2007; May 28, 2008; August 7, 2008; June 4, 2009; and June 3, 2010. (iii) Water was diverted during the non-irrigation season for stock watering, piscatorial, fire fighting, recreation and recharge of Queen’s Melinda’s, Kelly’s and Michelle’s Lakes to maintain water quality for trout habitat at the maximum decreed rate of 10.0 c.f.s. on the following dates: October 27, 2009; November 3, 2009; November 10, 2009; April 16, 2010; and April 27, 2010. (b) Queen’s, Melinda’s, Kelly’s and Michelle’s Lakes: Water was diverted at the maximum decreed rate of 0.2 c.f.s. for replacement of evaporation, piscatorial, stock watering, fire fighting, and recreational uses year-round between October 2005 and October 2010. (c) Brown South Well: (i) Water was diverted at a rate of 156 g.p.m. during the 2010 irrigation season for recharge of water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic, recreation/aquatic building, greenhouse, maintenance facility, office complex, piscatorial, stock watering, fire fighting, recreation, and irrigation of 70 acres (of the 100 acres) of lawns and gardens shown on Exhibit A attached to the Application. (ii) Water was diverted at a rate of 53 g.p.m. during the 2009-2010 non-irrigation season for recharge of water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic, recreation/aquatic building, greenhouse, maintenance facility, office complex, piscatorial, stock watering, fire fighting and recreation. (5) Names and addresses of owners or reputed owners of the land upon which any new diversion or storage structure, or modification to any existing diversion or storage structure is or will be constructed or upon which water is or will be stored, including any modification to the existing storage pool: All structures are located on Applicant’s property. WHEREFORE, Applicant, requests that the Court enter a decree: 1. Making the following conditional rights absolute: (a) Brown Enlargement of Chapson-Howe Ditch (i) Irrigation season use: (1) 1.5 c.f.s. for the irrigation of 45 acres of land shown on Exhibit A attached to the Application. (2) 6.0 c.f.s. for stock watering, piscatorial, fire fighting, recreation and recharge of Queen’s Melinda’s, Kelly’s and Michelle’s Lakes to maintain water quality for trout habitat. (ii) Non-irrigation season use: (1) 10.0 c.f.s. for stock watering, piscatorial, fire fighting, recreation and recharge of Queen’s, Melinda’s, Kelly’s and Michelle’s Lakes to maintain water quality for trout habitat. (b) Queen’s, Melinda’s, Kelly’s and Michelle’s Lakes: 0.2 c.f.s. for replacement of evaporation, piscatorial, stock watering, fire fighting, and recreational uses year-round. (c) Brown South Well: (i) 156 g.p.m. of the total 1,200 g.p.m. during the irrigation season for recharge of water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic, recreation/aquatic building, greenhouse, maintenance facility, office complex, piscatorial, stock watering, fire fighting, recreation, and irrigation of 70 acres of the total 100 acres of lawns and gardens shown on Exhibit A attached to the Application. (ii) 53 g.p.m. of the total 1,200 g.p.m. during non-irrigation season for recharge of water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic, recreation/aquatic building, greenhouse, maintenance facility, office complex, piscatorial, stock watering, fire fighting and recreation. (2) Finding that Applicant, and its predecessor-in-interest, Koinonia, have been reasonably diligent in the steady application of effort to complete the appropriation of the conditional water rights in a reasonably expedient and efficient manner under the facts and circumstances and continuing the following conditional rights in full force and effect: (a) Brown South Well: (i) 1,044 g.p.m. (2.33 c.f.s.), Conditional, for use during the irrigation season for recharge of water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic, recreation/aquatic building, greenhouse, maintenance facility, office complex, piscatorial, stock watering, fire fighting, recreation, and irrigation of 70 acres of the total 100 acres of lawns and gardens shown on Exhibit A attached to the Application. (ii)1,147 g.p.m. (2.56 c.f.s.), Conditional, for use during non-irrigation season for recharge of water level in Michael’s Lake and either directly from the Brown South Well or from storage in Michael’s Lake for domestic, recreation/aquatic building, greenhouse, maintenance facility, office complex, piscatorial, stock watering, fire fighting and recreation. (b) Kelly’s Lake Ditch: 10 c.f.s., Conditional, for use during the irrigation season to recharge and freshen Kelly’s Lake and for piscatorial, stock watering, fire fighting and recreation uses. (c) Well WS-1: 400 g.p.m., Conditional, for the irrigation of 70 acres, as shown on Exhibit A attached to the Application, lying east of the West Fork and located in the W½ of Section 32, T37N, R1E, N.M.P.M. 3.
